Please read these Terms and Conditions ("Terms") carefully before using the Chattelz platform ("Service") operated by Chattelz Inc. ("Company", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using any part of the Chattelz Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must not access or use the Service.

You must be at least 18 years of age and have the legal capacity to enter into a binding contract under the laws of Ontario, Canada. By using the Service, you represent and warrant that you meet these requirements.

We reserve the right to modify these Terms at any time. We will notify registered users of material changes via email or in-app notification. Continued use of the Service following notification constitutes acceptance of the revised Terms.

2. Description of Service

Chattelz is an online marketplace that facilitates the buying and selling of second-hand home furnishings and household goods from residential properties, primarily within the Greater Toronto Area. The Service enables sellers to list items, buyers to browse and purchase items, and facilitates secure escrow-based payment processing.

Chattelz also provides supplementary services including but not limited to: real estate agent and stager portals, moving quote integration with third-party partners, and verification services for real estate professionals. These services may be subject to additional terms.

Chattelz acts solely as a platform intermediary and is not a party to transactions between buyers and sellers. We do not own, sell, or warrant the items listed on the platform.

3. User Accounts & Registration

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary to keep it accurate, current, and complete.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account at support@chattelz.com.

We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or engage in conduct harmful to other users or the platform.

4. Buyer Responsibilities

As a buyer, you agree to complete purchases in good faith. Once a transaction is initiated and payment is processed, you are obligated to arrange and complete pickup within the timeframe agreed with the seller. Failure to do so may result in forfeiture of funds held in escrow.

You acknowledge that all items are sold as described by the seller. You are responsible for reviewing item descriptions, photographs, and condition notes before making a purchase. Chattelz is not responsible for items that do not meet your subjective expectations, provided the seller's description was accurate.

Buyers must confirm pickup completion through the platform to trigger fund release. Deliberately withholding pickup confirmation to delay payment to a seller is a violation of these Terms.

5. Seller Responsibilities

As a seller, you represent and warrant that you have the legal right to sell the items you list, that all item descriptions and photographs are accurate and not misleading, and that items will be available for pickup as described.

You agree to respond to buyer inquiries and pickup requests within a reasonable timeframe (generally 24–48 hours). Repeated failure to communicate or complete sales after payment may result in account suspension and funds being returned to buyers.

Sellers are responsible for ensuring items are as described at the time of pickup. Any material discrepancy between the listing and the actual item may result in a dispute and potential reversal of funds.

6. Fees & Payments

Chattelz charges a platform fee of 5% of the final sale price on each completed transaction. This fee is automatically deducted from the seller's proceeds before funds are released to their wallet. Additional payment processing fees may apply and are disclosed at checkout.

All prices listed on the platform are in Canadian dollars (CAD). Applicable taxes, including HST, are calculated and displayed at checkout. Chattelz reserves the right to modify its fee structure with 30 days' notice to registered users.

Payment processing is handled by Stripe Inc. By using the payment features of the Service, you also agree to Stripe's applicable terms of service. Chattelz does not store complete payment card information on its servers.

7. Escrow & Fund Release

When a buyer completes checkout, funds are held in a secure escrow account maintained by Chattelz. Funds are not released to the seller until the buyer confirms that pickup has been completed successfully through the platform.

If a dispute is raised prior to pickup confirmation, funds will remain in escrow while the dispute is reviewed. Chattelz reserves the right to release or return escrowed funds based on the outcome of a dispute investigation.

In the event of a verified refund, funds will be returned to the original payment method within 5–10 business days, subject to Stripe's processing timelines. Chattelz platform fees are non-refundable once a transaction is completed, except where required by applicable law.

8. Prohibited Items & Conduct

The following items may not be listed or sold on Chattelz:

  • Stolen or illegally obtained goods
  • Weapons, firearms, or ammunition
  • Hazardous materials or recalled products
  • Counterfeit or fraudulently described items
  • Items that infringe on intellectual property rights
  • Animals or living organisms
  • Prescription medications or controlled substances

Users must not engage in fraudulent activity, harassment, or abuse of other platform members. Attempts to circumvent the platform by conducting transactions off-platform to avoid fees are strictly prohibited and may result in permanent account termination.

9. Disputes & Resolution

In the event of a dispute between a buyer and seller, either party may open a support ticket through the platform. Chattelz will review the dispute and may request evidence from both parties. Our team aims to resolve disputes within 5 business days of receiving all required information.

Chattelz's decision regarding disputes is final. We reserve the right to release or withhold escrowed funds, suspend accounts, or take other remedial action based on our review. Chattelz is not liable for losses arising from disputes between users.

For disputes involving amounts over $10,000 CAD or matters not resolvable through our internal process, parties agree to submit to binding arbitration in Toronto, Ontario, in accordance with the Arbitration Act, 1991 (Ontario).

10. Intellectual Property

All content on the Chattelz platform — including but not limited to logos, trademarks, software, design, text, and graphics — is the property of Chattelz Inc. and is protected by Canadian and international intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written consent.

By uploading content (such as listing photos or descriptions) to the platform, you grant Chattelz a non-exclusive, royalty-free, worldwide licence to use, display, and distribute that content in connection with operating and promoting the Service.

11. Privacy Policy

Your privacy is important to us. Our Privacy Policy, available at chattelz.com/privacy, describes how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described therein.

Chattelz complies with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation in Ontario, Canada.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Chattelz Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or related to your use of or inability to use the Service.

In no event shall our total liability to you for all claims relating to the Service exceed the greater of (a) the amount you paid to Chattelz in the twelve months preceding the claim, or (b) $100 CAD.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for consequential damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

13. Termination

You may close your Chattelz account at any time by contacting us at support@chattelz.com. Upon termination, your right to use the Service ceases immediately. Any outstanding transactions will be completed or reversed according to their current state. Wallet balances may be withdrawn for up to 30 days post-closure.

We may suspend or terminate your account immediately, without prior notice, if you breach these Terms, engage in fraudulent activity, or if continued access poses a risk to the platform or other users. We will make reasonable efforts to notify you of termination unless prohibited by law.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any legal action or proceeding arising out of or related to these Terms or the Service (other than matters submitted to arbitration as described above) shall be brought exclusively in the courts of Ontario, Canada, and you irrevocably consent to the personal jurisdiction of such courts.
